If any of these Terms and Conditions should be determined to be illegal, invalid or otherwise unenforceable by reason of the laws of any state or country in which these Terms and Conditions are intended to be effective, then to the extent and within the jurisdiction which that Term or Condition is illegal, invalid or unenforceable, it shall be severed and deleted from this clause and the remaining terms and conditions shall survive, remain in full force and effect and continue to be binding and enforceable.
 
The images of products used for marketing and on the official Firex International Ltd. website are for illustration purposes only and products may vary slightly from that shown on the website. Unless a specific manufacturer is stated we reserve the right to change suppliers at our discretion.

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. All disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Conditions of contract





(1) Loss or damage in transit:

The company shall not be liable for loss or damage in transit unless: -

The company has agreed to effect delivery to a place other than the company’s premises and the loss or damage occurs prior to arrival at delivery point.

In the case of total loss or non-arrival Firex International Ltd must be notified within 14 days after dispatch of advice note or invoice.

(2) Price:

Unless otherwise specifically agreed by the company in writing, the price of the goods shall be that stated in the company’s invoice applicable to the goods.

The company reserves the right to vary the price of the goods without notice to take account of any variation in the cost of materials, labour, transport, duties, taxes, exchange rates or other costs between the date of the contract and the date of delivery or completion of payment.

(3) Warranty:

"Warranty Period" shall mean:

(a) If the goods are of the type to which warranty conditions published by the Company and current at the time of the Buyer's order apply, the period specified in such published warranty conditions; - in any other case, the period determined under paragraph (b) below;

(b) In the absence of any other warranty period specified in writing by the Company to the Buyer, the Warranty Period specified in this Condition 6 (b) shall apply, namely:

(i) In respect of portable fire extinguishers, subject to the goods being serviced by a trained operator in accordance with BS 5306 as amended, a period of 5 years from the date of delivery.

(ii) In respect of any other case not referred to in (a), (b) (i) or (ii) above, a period of 12 months from the date of delivery or, if the goods are not of the Company's manufacture and the manufacturer offers a warranty period of less than 12 months, such warranty period as shall have been specified by the manufacturer.

(c) If within the Warranty Period a material defect in the goods shall be discovered, and the Buyer notifies the Company within 14 days after discovery giving particulars and either:

(i) At its own expense and risk returns the goods to the Company or (at the Company’s sole option) permits the Company to inspect the same; and (ii) such defect has arisen from faulty materials employed or workmanship carried out by the Company existing but not discoverable upon inspection at time of receipt, then the Company shall supply replacements or, at its option, credit the Buyer’s account with the Company, or refund to the Buyer the purchase price paid and shall credit the cost of returning the defective goods.

(ii) The Company’s liability for defective goods is (at its sole option) limited to the delivery of replacements or crediting or refunding the invoice value for the goods to the Buyer and the Buyer shall accept whichever remedy the Company shall select as fully satisfying the Company’s obligations under the contract.

The Company’s liability under this Condition applies only to defects appearing before the Buyer makes any modification or alteration or repair to the goods and whilst the goods are being properly used or stored and in particular (but without limitation) the Company shall not be liable in the case of defects arising from normal deterioration or improper or faulty handling or processing by the Buyer, or accelerated deterioration resulting from injurious environmental conditions.

(4) Inspection: -

The Buyer shall inspect the goods immediately upon receipt and shall (unless such inspection cannot be carried out and the delivery note is marked "not examined"), subject to paragraph (1) below, be deemed to have accepted the goods as delivered.

(1) The Company shall not be liable for defects or shortages discoverable on reasonable inspection unless the Buyer notifies the Company, in the case of non export sales before the expiry of 7 days after receipt, and in the case of export sales 14 days after receipt, of any alleged defect or lack of conformity with the contract.

The Company shall make good shortages notified to it under section 4 paragraph (1) as soon as reasonably practicable but shall not be liable for any other loss whatsoever arising from such shortage.

The Company's liability for goods lost or damaged in transit shall in all circumstances be limited to (at the Company's option) the repair or replacement or crediting the Buyer with the invoice value of the goods in question.

(5) Cancellation: -

Following receipt of an ‘Order’ a customer may at anytime cancel in writing said ‘Order’ upon payment to Supplier of a cancellation fee. The cancellation fee will be determined at the time the order is cancelled (minimum charge is 10% of Purchase order price, not less than £150) in line with the following at the Suppliers discretion:

Cancellation Fees:

Up to 60 days prior to delivery 10% or a minimum £150 paperwork fee.

59 - 45 days prior to delivery 25% of the order value.

44 - 30 days prior to delivery 35% of the order value.

29 - 15 days prior to delivery 50% of the order value.

14 days or less 90% of order value.

Product Recalls

The Purchaser shall comply at all times with the written instructions and all written guidelines issued by Firex International Ltd. or the manufacturer from time to time attached to the goods concerning the storage and use and the Purchaser shall refer its employees and its customers to such instructions and guidelines.

The Purchaser should satisfy itself that the persons responsible for the storage and use of any goods supplied by Firex International Ltd. have all the information required on health and safety and Firex International Ltd. shall not be liable to the Purchaser in any civil proceedings brought by the Purchaser against Firex International Ltd. in respect of a breach of the user instructions or any applicable health and safety legislation or any regulations, orders or directions made pursuant to such health and safety legislation in force from time to time or under any directive, regulation, order or other instrument relating to health and safety where such exclusion of liability is permitted by law.

The Purchaser shall keep Firex International Ltd. properly informed of all customer complaints concerning the goods and shall comply with any directions of Firex International Ltd. in any issues, proceedings or negotiations relating to such complaint.

In the event of any recall of the goods by Firex International Ltd. the Purchaser shall co-operate fully and promptly with any steps taken by Firex International Ltd. Fire Products Ltd under the Condition below

Firex International Ltd. may at its discretion recall any goods already sold by Firex International Ltd. to its customers, (whether for a refund or credit or for replacement of the goods which shall in each case be undertaken by Firex International Ltd.) and/or issue any written or other notification to its customers about the manner of use of any goods already sold by Firex International Ltd. to its customers.  The customer agrees to give all reasonable assistance to Firex International Ltd. or the manufacturer in resisting any claim, which may arise under any recall of product by Firex International Ltd. or the manufacturer of such product.

Errors & Omissions

Returns Policy and Cancellations

Firex International Ltd. supplies all goods with a no questions asked returns policy. A purchaser who cancels an order or who receives an order and wishes to return it, should inform us in writing within 7 days of the delivery date and we will arrange collection. You should ensure the goods are properly prepared for collection. Firex International Ltd. will refund the Purchaser's full invoice amount within 28 days of receiving the goods, subject to inspection and the goods being returned 'as new' in re-sellable condition. The Purchaser will be liable for any damage to the goods, however caused, and Firex International Ltd. shall withhold any amount it deems necessary from the Purchaser's refunded amount.

Product & Information Alterations

Firex International Ltd. Ltd reserves the right to withdraw or make alterations to its products without notice or liability. We reserve the right to substitute goods within your order with goods of an equivalent nature. If you do not wish to accept the substituted goods then the products must returned to us within 7 days of receipt, in line with our Return's Policy.

Misrepresentation Act 1967

Information and technical data contained on-line, in catalogues and technical publications is for guidance purposes only and Firex International Ltd. will not be held responsible for any mistakes and or wrong interpretations of such information. Firex International Ltd. will also not be held liable for verbal representations about any of our products, other than in the case of fraudulent misrepresentation.

Force Majeure

We shall make every effort to comply with our obligations but we cannot be held responsible for circumstances which are beyond our reasonable control. If Firex International Ltd. are unable to perform our obligations by reason of any such force majeure event, then we shall give you, the purchaser notice in writing of the circumstances giving rise to it, and after a period of three (3) months either of us shall have the right to terminate any order by giving notice in writing to the other without any liability except for sums accrued due under the Contract.


The Company shall be entitled to cancel the contract or to postpone any delivery until payment has been received in the event that the Company has reasonable doubts about the Buyer's ability or willingness to pay on the due date.

The Company reserves the right at any time at its discretion to demand security for payment before continuing with an order or delivering goods.

No discount or allowance will be made unless specifically stated by the Company in writing.

Firex International Ltd. remains the owner of all product supplied until it receives payment of all monies invoiced. Until such time as ownership in the products passes to the Purchaser, Firex International Ltd. is entitled at any time to require the Purchaser to return the product or products to Firex International Ltd. and if the Purchaser defaults, to enter the premises where the products are stored and repossess them. The Purchaser is not entitled to pledge or charge in any way the products which remain owned by Firex International Ltd. and if the Purchaser does so all monies owing by the Purchaser to Firex International Ltd. shall immediately become due and payable without prejudice to any other right or remedy of Firex International Ltd.
